PLEASE READ THESE TERMS OF USE CAREFULLY. THIS DOCUMENT CONTAINS LEGALLY BINDING PROVISIONS THAT DETERMINE YOUR RIGHTS, YOUR LEGAL REMEDIES AND YOUR OBLIGATIONS. THESE TERMS INCLUDE A LIMITATION OF LIABILITY AND AN AGREEMENT THAT DISPUTES SHALL BE RESOLVED EXCLUSIVELY UNDER THE LEGISLATION OF THE REPUBLIC OF AZERBAIJAN AND BY ITS COMPETENT COURTS.
These Terms of Use ("Terms") are the official and legally binding user instrument governing the rules for using the carent.az website and the Carent mobile app ("Carent App", "Platform", "Services"), which belong to "CARENT" MMC (limited liability company) ("Carent", "we", "our").
By registering on the Platform, creating a profile, listing a vehicle or booking a vehicle, you are deemed to have accepted these Terms in full and without reservation, together with the other official rules that form part of these Terms (Privacy Policy, Cancellation and Refund Policy, Payments and Fees, Prohibited Use, Insurance and Protection).

1. Introduction and the Legal Role of the Carent Platform
1.1. Marketplace and Technological Intermediation
"CARENT" MMC is a peer-to-peer (P2P) and B2C car sharing marketplace that brings together independent car owners and drivers wishing to rent a vehicle in a digital environment. Through the website (carent.az), the mobile apps (iOS and Android) and the associated technological infrastructure, Carent provides search, communication, document verification and payment processing between the parties.
1.2. Important Legal Warning and Distinction
CARENT IS NOT A CAR RENTAL (RENT-A-CAR) COMPANY OR A TRANSPORT CARRIER.
- Carent does not own the vehicles listed on the platform, does not own a fleet, does not rent vehicles out directly and does not operate them.
- Carent does not itself insure any vehicle listed on the platform, does not carry out technical inspections and gives no direct warranty as to their mechanical condition.
- The actual vehicle rental contract and the legal relationship arise directly between the Host (an Individual Car Owner or an official Rent-a-Car company) and the Renter (the Driver).
- Carent does not act as a party, a guarantor or an insurer in this rental relationship.
2. Eligibility, Registration and Document Verification
2.1. Registration and Eligibility Criteria
To use the Platform, every natural person must:
- Be at least 18 years of age (for certain high-class vehicles, the Host may require a minimum age of 21 or 24);
- Have full legal capacity;
- Provide only their own true, accurate and up-to-date information at registration;
- Hold only one individual account. Creating a false profile in someone else's name or transferring the account to third parties is prohibited.
2.2. Local and International Right to Drive
Carent is open both to local residents and to international travellers:
- Citizens of the Republic of Azerbaijan: An ID card (with the FIN code) and a valid driving licence;
- Foreign Citizens and Tourists: A foreign passport and a valid national driving licence in accordance with the international conventions (or an International Driving Permit — IDP). Tourists and visitors from any country in the world may verify their profile and book a vehicle.
2.3. Document Verification and Security Screening
- In order to protect the security of the platform, Carent has the right to check the identity and driving documents submitted, as well as the user's liveness photo (Selfie check).
- Carent reserves the right to refuse the registration of any user without giving reasons, to request additional supporting documents, or to suspend accounts that create a security risk.
3. Service Fees, Payments and Taxes
3.1. Prices and Transactions
- Rental Fee: Freely set by the Host and shown in the listing per day/period.
- Service and Operating Fee: Carent may apply a service fee for the uninterrupted operation of the platform, technological services and customer support. All fees are shown to the Renter fully and openly before the booking is confirmed.
- Processing of Payments: Payments are securely accepted within the Carent App through licensed banking systems. The user's full card number and CVV code are not stored by Carent.
3.2. Deposit Rules
- Where a deposit is required for a vehicle, the amount and conditions of the deposit are stated clearly and in advance on the listing page.
- The return of the deposit is carried out in accordance with the published rules when the trip ends and where there are no fine/damage claims.
3.3. Additional Costs and Penalties
The Renter is liable for additional payments in the following cases:
- Late Return Fee: Returning the vehicle later than the agreed time;
- Fuel Difference: Returning the vehicle with less fuel than when it was collected;
- Excessive Soiling: Soiling the vehicle cabin to a degree requiring special chemical cleaning, or smoking inside the cabin;
- Traffic Fines: All speed camera and parking fines arising during the trip.
3.4. Tax Obligations
- Hosts (Individual Entrepreneurs and Rent-a-Car companies) are personally responsible for keeping their own tax records, filing their returns and paying their taxes on the income they earn through the platform, in accordance with the Tax Code of the Republic of Azerbaijan.
4. General Obligations of Users
Every user of the Platform (Renter or Host) undertakes that they will:
- Honesty and Transparency: Act honestly, ethically and lawfully in their dealings with other users and with the Carent team;
- Account Confidentiality: Keep their login passwords and account details secret and bear full responsibility for all actions taken from their account;
- Transactions Within the Platform: Carry out all booking, communication and payment processes solely within the Carent App;
- Cooperation: Cooperate fully with Carent, insurance companies and law enforcement authorities in the event of any road accident, damage, theft or legal dispute, and provide the information required in good time.
5. Content and Intellectual Property Rights
5.1. Carent's Property
The "Carent" name, logo, design elements, the program code, texts, databases and technological infrastructure of the mobile app and website are the exclusive property of "CARENT" MMC and are protected by the Intellectual Property legislation of the Republic of Azerbaijan and by international treaties. Any copying, reverse engineering or unauthorised use without Carent's written consent is prohibited.
5.2. User Content
Copyright in the photographs (vehicle images, photo protocols) uploaded to the platform by users and in the reviews they write remains with the user. The user grants Carent a free, non-exclusive, worldwide licence to use this content for the purposes of operating the platform, security analysis and marketing.
6. Prohibited Activities
The following acts are STRICTLY PROHIBITED when using the Platform or a rented vehicle:
- Going Off-Platform: Conducting cash deals outside Carent, moving payment off the platform or evading the commission;
- Unauthorised Driving and Sub-Renting: Handing the vehicle over to be driven by third parties not verified at the time of booking, or re-renting it out (sub-renting);
- Driving Under the Influence: Sitting behind the wheel under the influence of alcohol, narcotics, psychotropic substances or medicines that impair reactions;
- Dangerous and Aggressive Use: Taking part with the vehicle in races, drifting, speed trials or auto shows, or driving in off-road (unmade road / mountainous terrain) conditions;
- Unlawful Purposes: Smuggling, transporting narcotics, weapons or unlawful cargo, or committing a crime;
- Unauthorised Commercial Activity: Providing taxi, passenger transport or courier services without an official permit and distinguishing sign;
- Breach of Territorial Boundaries: Taking the vehicle beyond the state borders of the Republic of Azerbaijan, or entering without authorisation zones for which the state requires a special permit;
- Interference with the System: Using automated bots or scrapers, or attempting to break the system's security mechanisms.
The accounts of users who engage in prohibited activities are blocked immediately, insurance cover is cancelled, and all damage caused is claimed in full from the party at fault through the courts.

7. Limitation of Liability and Indemnification
7.1. Disclaimer of Warranties
To the maximum extent permitted by the legislation of the Republic of Azerbaijan:
- The Carent platform and services are provided "as-is" and "as-available".
- Carent gives no direct warranty as to the uninterrupted, secure or error-free operation of the platform, nor as to the internal mechanical soundness, cleanliness or safety of the vehicles listed.
7.2. Exclusion of Liability for Damage
- Carent bears no material or civil liability in any case for road traffic accidents occurring during a trip, bodily injury, death, damage caused to third parties, theft of the vehicle, internal mechanical failures or the personal acts of the parties.
- All damage and insured events are settled by the party at fault and the insurer within the framework of the legislation and the applicable insurance terms.
7.3. Maximum Limit of Liability
In cases not prohibited by law, the total liability of Carent MMC in respect of any claim shall in no event exceed the total amount of the service fee actually paid to Carent within the framework of the disputed transaction.
7.4. Indemnification Obligation
The user undertakes to pay in full all direct and indirect damage, court costs and legal fees incurred by Carent MMC, its management and its employees as a result of the user's breach of these Terms, of the legislation or of the rights of third parties.
8. Special Terms for Renters (Guests / Drivers)
- Mandatory Photo Protocol Requirement (Check-in / Check-out): When collecting and returning the vehicle, the Renter must use the Carent App to photograph the vehicle from all 4 sides, together with any existing scratches and the odometer and fuel readings. A Renter who does not take the photo protocol may be held liable for damage discovered when the vehicle is returned.
- Fines and Administrative Liability: All traffic violations committed during the trip, speed camera fines and paid parking charges are 100% the personal responsibility of the Renter.
- Return Conditions: The vehicle must be returned to the Host on time, in the same state of cleanliness and at the same fuel level at which it was collected.

9. Special Terms for Hosts (Car Owners and Rent-a-Car Companies)
- Legal Right and Documents: The Host confirms that they are the owner of the vehicle listed, or that they hold the right to rent it out on the basis of a notarial power of attorney/contract. All vehicles must be registered with the state in the Republic of Azerbaijan.
- Technical Safety and Insurance: The vehicle must be in fully sound technical condition, must have passed the state technical inspection and must hold valid Compulsory Motor Insurance.
- Accuracy: The photographs, specifications and prices in the listing must reflect the real condition of the car.
- Cancellation Restrictions: Hosts who cancel a confirmed booking without justification have their listing rating lowered and, in repeated cases, may have their account suspended.

10. Dispute Resolution and Jurisdiction
10.1. Negotiation Stage
Any disagreement or dispute arising between the parties is first addressed through mutual understanding and good-faith negotiation, with the mediation of the Carent Support Team.
10.2. Applicable Law
These Terms, their interpretation and all relationships arising between the parties are governed by the substantive and procedural legislation of the Republic of Azerbaijan.
10.3. Exclusive Jurisdiction
All disputes, claims and demands not resolved through negotiation — whether brought by local citizens or by foreign citizens or companies — are heard and finally determined exclusively in the competent courts of the Republic of Azerbaijan.
11. Final and General Provisions
- Updates to the Terms: Carent has the right to amend these Terms unilaterally at any time. The updated terms take effect from the moment they are published on carent.az and in the Carent App. Users are notified of significant changes.
- Severability: A declaration by a court that any provision of these Terms is invalid or unenforceable does not affect the legal force of the remaining provisions.
- No Waiver: Carent's failure to enforce any right provided for in these Terms immediately may not be construed as a waiver of that right.
